To register for 2016 local competitions, please follow the steps below. If you have updates to a competition you already registered, please send those by e-mail to to pitchhitrun@mlb.com.

1. Complete the form below to register as a host of a local competition and click submit or hit the enter button when all information has been entered. Upon receipt of your online registration, Major League Baseball will place you on a list to receive a kit, which will include a handbook (thoroughly explaining how to run the competition), registration forms, awards, promotional posters, strike zone banner, etc.

2. Receive your Pitch Hit & Run administrative kit, review the materials and make plans for your competition.

3. Administrate the competition, tally the scores and award the champions.

4. Submit the competition results and registration forms to MLB PHR Headquarters and pass along advancement information to local champions.

LOCAL HOSTS AGREEMENT/TERMS AND CONDITIONS

In consideration for your right to act as a local host for 2016 Scotts Major League Baseball Pitch Hit Run ("Event") local competition ("Local Competition"), by checking the box below ("Box"), you, on your own behalf and on behalf of your organization (if any), (collectively, "You" or "Local Host"), agree, warrant and covenant that the terms and conditions of this form will constitute an agreement (the "Agreement") between You, on the one hand, and Major League Baseball Properties, Inc. and Major League Baseball Urban Youth Foundation (collectively, "MLB"), on the other hand, with respect to the registering and hosting of a Local Competition. The terms of this Agreement shall apply equally to Local Host and to any third parties for whom Local Host is acting as agent or representative. In the event of a conflict between the terms set forth in this Agreement and the MLB.com Terms of Use, the terms of this Agreement shall control.

1.0 Term; Termination. This Agreement is effective as of the date upon which You check the Box (the "Effective Date") and shall terminate on June 30, 2016, except as otherwise expressly set forth herein. MLB reserves the right to discontinue the Local Competition or any part of the Event or require that the Local Host disassociate itself from MLB, the Local Competition and/or the Event at any time and for any reason. In addition, MLB may suspend or discontinue the Local Competition or the Event in its entirety at any time and for any reason. If Local Host breaches any term of this Agreement, MLB may immediately terminate it, without prejudice and in addition to any other legal or equitable remedies it may have.

2.0 Local Host's Obligations. The Local Host shall satisfy the following requirements:

2.1. Duties. The Local Host shall organize and stage a community-based Local Competition for boys and girls ages 7-14 in accordance with the guidelines established in the Administrative Kit (as defined below). Among other things, the Local Host agrees to:

a) Stage the Local Competition with four separate age groups (7-8, 9-10, 11-12 and 13-14), with boys and girls together in each age group for each of 2 divisions - baseball and softball;

b) Stage the Local Competition at no cost to any individual participant;

c) Provide Local Host's expertise and management to the Local Competition;

d) Conduct the Local Competition on dates and in accordance with guidelines specified by MLB and/or its authorized designees, including, without limitation, LEJ Sports Group;

e) Submit information of winners of the Local Competition as soon as You have completed your Local Competition, but in any event, no later than June 15, 2016 to MLB in order to ensure that your Local Competition winner(s) are able to participate in the Sectionals, Team Championships and National Finals of the Event;

f) Secure a facility in Local Host's area acceptable to MLB and/or its authorized designees at which to host the Local Competition;

g) Refrain from discriminating unlawfully on the basis of race, creed, color, national origin, sexual preference, gender or any other basis prohibited by applicable law;

h) Agree to programmatic and fiscal monitoring, evaluations, and observations by MLB and/or its authorized designee(s), as detailed herein and otherwise instructed by MLB and/or its authorized designees;

i) Secure and maintain insurance coverage satisfactory to MLB as detailed in Exhibit A hereto;

j) Require each participant and his/her parent(s) or guardian(s) to execute all waivers, releases and other documentation provided to Local Host by MLB in the Administrative Kit and otherwise, prior to any participation in the Event - or any Local Competition;

k) Execute indemnification and other agreements as required by MLB;

l) Refrain from any commitment to any person or entity to act as a local sponsor of the Local Host and/or the Local Competition;

m) Use materials furnished by MLB and/or its authorized designees, including the uniform patches and written materials (if any), in the manner requested by MLB and/or its authorized designees; and

n) Obtain MLB's prior written approval of any proposed local television or other transmission of Local Competition and/or related activities.

2.2. Promotion/Organization/Staging. Except as otherwise noted above, Local Host is responsible for all aspects of promoting, organizing, and staging the Local Competition in accordance with the Administrative Kit (as defined below) and all costs associated with these activities. MLB has no obligation to make any payment directly to Local Host for any purpose. You agree to send MLB all names, addresses, and other demographic information of participants in the Local Competition collected by Local Host to the following address:

3. MLB's Obligations. MLB shall provide You with an administrative kit containing the following items (the "Administrative Kit"): age verification chart; self-addressed stamped return envelope; promotional posters; registration forms; participation cards; strike zone target; zip ties; Event folder with tips/welcome memo; Event handbook; waivers and releases; and award certificates.

* Please note that MLB reserves the right to modify and/or supplement the items in the Administrative Kit at any time at MLB's sole discretion.

4. Indemnification. Local Host indemnifies and holds harmless Major League Baseball Urban Youth Foundation, Major League Baseball Charities, Inc., Major League Baseball Properties, Inc., MLB Advanced Media, L.P., the Office of the Commissioner of Baseball, The MLB Network, LLC, LEJ Sports Group, the Scotts Company LLC, the Major League Baseball clubs, and each of their respective past, present and/or future general and limited partners, members, shareholders, directors, officers, employees, agents, licensees, sponsors, volunteers and representatives (collectively, the "MLB Entities") from all claims, liabilities, damages and expenses (including attorneys' fees and expenses) arising out of or related to Local Host's or its agents: (a) conduct of business; (b) breach of this Agreement; (c) use of the MLB Proprietary Rights (as defined below) and associated packaging, advertising or promotional materials, except as pre-approved by MLB in writing; and (d) acts or omissions. With respect to any claim that might give rise to liability of Local Host as an indemnitor, the MLB Entities must: (a) have the right to fully participate in the litigation of such claim with counsel of their own selection at Local Host's own expense; and (b) not be obligated, without their consent, to participate in any settlement of such claim which they believe would have an adverse effect on their businesses. Local Host shall not settle any such claim without MLB's prior written consent. The terms of this Paragraph shall survive the termination, cancellation and/or expiration of this Agreement.

5. Intellectual Property Rights. This Agreement grants no rights to You or your organization to make any use of the names, word marks, logos, uniform designs, mascots, images, colors and color combinations, trade dress, characters, symbols, designs, likenesses and visual representations owned, controlled, or cleared for use by or on behalf of and/or applied for in or registered with the U.S. Patent and Trademark Office (irrespective of the class or nature of goods or services for which an application has been made or registration issued) of a proprietary nature of the MLB Entities (collectively, the "MLB Proprietary Rights"). Any intellectual property produced by Local Host in connection with the Local Competition and/or the Event will be considered a "work made for hire" for MLB, specifically ordered or commissioned by MLB, with MLB being deemed the sole owner of all such results and proceeds. Any items produced by You or your organization in conjunction with or relating to the Local Competition and/or the Event must be pre-approved in writing by MLB prior to being distributed. To the extent that title to any such work does not, by operation of law, vest in MLB or such work is not considered a "work made for hire," all rights, title, and interest will be deemed irrevocably assigned to MLB. As between You and MLB, all rights in and to the trademarks, copyrights, and other intellectual property rights of the MLB Entities will be the sole and exclusive property of the applicable MLB Entity. You may not and You may not allow any others to use any MLB Proprietary Rights for any purpose whatsoever, without the prior written approval of MLB. There can be no association of MLB, any MLB Entity, any Local Competition and/or the Event with any third party without the prior written approval of MLB. Local Host shall submit for MLB's prior approval all plans and materials connected with Local Host's activities hereunder, and shall make any modifications which MLB requests. Local Host hereby acknowledges, represents and covenants, as the case may be, that all rights, title and interest in and to the MLB Proprietary Rights belong to the MLB Entities, as applicable; (iii) Local Host has not made and shall not make any unauthorized use of the MLB Proprietary Rights and any such use would require a license from the applicable MLB Entity; (iv) any use that Local Host has made or will make of the MLB Proprietary Rights has not conferred, and shall not confer, any rights or benefits on Local Host in respect thereof, and any such rights or benefits inure to the MLB Entities; (v) the MLB Proprietary Rights have acquired a secondary meaning in the minds of the general public; (vi) the goodwill associated with the MLB Proprietary Rights has great value and such goodwill belongs exclusively to the MLB Entities, and (vii) Local Host shall not, during the Term or thereafter, attack the rights, title or interest of the MLB Entities in or to the MLB Proprietary Rights, including the validity of the rights granted hereunder or use any element of such rights without the applicable MLB Entity's express written consent. Any and all material related to the Event and/or the Local Competition that is owned or controlled prior to the date hereof by MLB Entities or third parties shall remain under the sole ownership, copyright and control of such MLB Entities or third parties, respectively. The terms of this Paragraph shall survive the termination, cancellation and/or expiration of this Agreement.

6. Security and Background Checks. You represent and warrant that You (as an individual) are at least (i) eighteen (18) years of age or (ii) the age of majority in the applicable jurisdiction. You agree that MLB and/or its authorized designees may conduct security and background checks on You and/or your organization as a condition of your participation as a Local Host, and as such, You agree to allow for the release of employment records, civil litigation records, and criminal conviction records upon request of MLB or its authorized designees. This release is executed with full knowledge and understanding that the information is for the official use of MLB and/or its authorized designees only. The information is for the purpose of evaluating your role as a volunteer Local Host for the Local Competition to be conducted by You. You hereby release MLB, as custodian of such records, and the MLB Entities both individually and collectively, from any and all liability for damages of whatever kind, which may at any time result to You, your heirs, family, or associates because of compliance with this request to release information, or any attempt to comply with it.

You represent and warrant that all adult persons, whether hired workers or volunteers, including, but not limited to, coaches, parents, hosting organization's board of directors, and any other persons, volunteers, or hired workers who provide services to the Local Competition and/or have access to or contact with participants ("Host Volunteers"), have successfully passed a background check or will successfully pass a background check prior to any contact with any participants. The background check must include a state/province-wide criminal background check through the appropriate governmental agencies (unless prohibited by law), as well as a search of the applicable government operated statewide sex offender registry.

You shall not permit any person to participate in any manner with the Local Competition and/or the Event if such person's background check reveals (i) a conviction, plea of guilty, or plea of nolo contendere for any crime involving or against a minor; or (ii) the person is listed in a sexual offenders registry.

You must prohibit any person from participating in the Local Competition and/or Event in any capacity if the background check reveals any information which Local Host and/or MLB determines to be a safety risk and shall provide MLB with whatever information it deems necessary in order to make such a determination.

MLB may immediately suspend or terminate Local Host's participation in the Event for failure to comply with these regulations.

7. Limitation of Liability. IN NO EVENT SHALL THE MLB ENTITIES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM ITS ACCESS TO AND USE OF OUR SERVICES, AND/OR (III) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF ITS USE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE LIMITATIONS OF THIS PARAGRAPH MAY NOT APPLY TO YOU. The terms of this Paragraph shall survive the termination, cancellation and/or expiration of this Agreement.

8. Miscellaneous.

8.1 Arbitration. The validity, construction, and enforceability of this Agreement, and all matters or disputes arising under, in connection with or related to this Agreement, shall be governed by the laws of the State of New York, without regard to its conflict of law principles, applicable to contracts entered into and performed entirely within that State. Any controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The place of arbitration shall be New York County, New York State. Except as may be required by law, neither a Party nor an arbitrator may disclose the existence, content, or results of any arbitration hereunder without the prior written consent of both parties. The arbitration shall be conducted by one (1) arbitrator in accordance with the AAA Rules for Expedited Procedures, which arbitrator shall be selected in accordance with the AAA Rules for Expedited Procedures, and which arbitrator shall have had no less than fifteen (15) years' experience handling issues akin to those that are the subject matter of the disputes that are the subject of the arbitration. In connection with any arbitration proceeding: (a) no arbitrator shall have been employed by either Party hereto and its consultants within the previous five (5) year period; (b) the arbitrator shall be neutral and independent of the parties to this Agreement; (c) no arbitrator shall be affiliated with any Party's auditors; and (d) no arbitrator shall have a conflict of interest with (including, without limitation, any bias towards or against) either Party hereto. The arbitrator will have no authority to award punitive or other monetary damages not measured by the prevailing Party's actual damages, except as may be required by statute. The arbitrator shall not award consequential damages in any arbitration initiated herein. The award of the arbitrator shall be accompanied by a reasoned opinion. Either Party also may, without waiving any remedy under this Agreement, seek from any court of competent jurisdiction located in New York County, New York State, any interim or provisional relief that is necessary to protect the rights or property of that Party, pending the establishment of the arbitral tribunal. The terms of this Paragraph shall survive the termination, cancellation and/or expiration of this Agreement.

8.2 Entire Agreement. Other than the MLB.com Privacy Policy and MLB.com Terms of Use (as amended by this agreement), these terms and conditions constitute the entire agreement and understanding between You and MLB with respect to their subject matter and cancel, terminate, and supersede any prior or contemporaneous agreement or understanding, whether oral or written, on this subject between the parties.

8.3 Severability; Integration; Amendments. Each term of this Agreement must be considered separate, and if any term is held invalid or unenforceable, the remaining terms will be binding and enforceable. This Agreement, when fully executed, shall represent the entire agreement and understanding between the parties and cancels, terminates, and supersedes any prior written or oral agreement or understanding between the parties relating to the subject matter hereof. This Agreement is personal to Local Host; Local Host shall not sublicense or franchise any of the rights granted hereunder. Neither this Agreement nor any of the rights of Local Host hereunder shall be sold, transferred or assigned by Local Host without MLB's prior written approval. This Agreement does not constitute and shall not be construed as constituting any agency, partnership or joint venture relationship between MLB and Local Host, or any other MLB Entity and Local Host. The terms of this Paragraph shall survive the termination, cancellation and/or expiration of this Agreement.

8.4 Waiver. This Agreement, or any term hereof, may be modified, amended or waived only by a written instrument duly executed by MLB, and a failure by MLB to enforce any term of this Agreement will not constitute a waiver by MLB of such term or any other term of this Agreement. No written waiver shall excuse the performance of any act other than those specifically referred to therein. The terms of this Paragraph shall survive the termination, cancellation and/or expiration of this Agreement.

8.5 Relationship. Nothing in this Agreement may be deemed to create a partnership between the parties, and neither party must do or permit any act to be done whereby it may be represented as agent or partner of the other. You understand that You have no authority to represent yourself as an employee or agent of MLB or the MLB Entities, or any of them. You will not represent to any person that You possess such authority, or by your acts or statements, cause any person to believe that You possess such authority. The terms of this Paragraph shall survive the termination, cancellation and/or expiration of this Agreement.

8.6 Assignment. You may not assign, sublicense, transfer, or otherwise encumber any of your rights under this Agreement to any of your affiliates or any third party without MLB's prior written consent.

8.7 Notification. Local Host will send all notices and statements to MLB required under this Agreement to the address listed in Paragraph 2.2 hereof with a copy to the General Counsel, unless notification of a change of address is given in writing. MLB will send all notices and statements to Local Host required under this Agreement to the address given by You upon your acceptance of the terms of this Agreement. All notices required under this agreement must be in writing, may be sent by registered or certified mail, or a private overnight delivery service generally accepted in the industry that provides evidence of delivery and will be deemed to have been given three (3) days after it is sent.

8.8 Conduct of Local Host. Local Host represents and warrants that it does and will conduct its business in full compliance with all applicable laws and regulations of the United States and the state in which it conducts business, as well as in full compliance with the Administrative Kit.

8.9 Safety and Security of Participants. Local Host represents and warrants that it will take all precautions to protect the safety of all participants in the Local Competition, including screening all adults who will interact with child participants in the Local Competition and policing security at all areas where Local Competition are played.

8.10 Books and Records. Local Host shall keep, maintain and preserve in its principal place of business for at least four (4) years complete and accurate records and accounts covering Local Host operations, including, without limitation, invoices, correspondence, tax returns, financial statements, list of local sponsors and fees paid by each, Local Host organization chart, list of Local Host board members, banking, financial and other records in Local Host's possession or under Local Host's control. Such records and accounts shall be available for inspection and audit (and copying at MLB's expense) at any time or times during or after the term of this Agreement during reasonable business hours and upon reasonable notice by MLB or its representatives. The terms of this Paragraph shall survive the termination, cancellation and/or expiration of this Agreement.


EXHIBIT A

MLB INSURANCE REQUIREMENTS

Local Host must secure and continuously maintain, at its own expense, the following coverage in order to participate in Local Competition and/or Event:

1. An Insurance Services Office occurrence-based Commercial General Liability Insurance Policy, including but not limited to contractual liability, personal injury liability, advertising injury liability, participants liability, products/completed operations liability and Abuse & Molestation coverage with minimum limits of:

$2,000,000 Each Occurrence;
$4,000,000 General Aggregate;
$4,000,000 Products/Completed Operations Aggregate.

2. Automobile Liability Insurance, covering owned, non-owned, leased or hired automobiles, with a minimum combined single limit of $2,000,000 Each Accident.

3. Workers' Compensation in compliance with state statutory laws, including Employers' Liability with minimum limits of:

$1,000,000 Each Accident
$1,000,000 Disease - Each Employee
$1,000,000 Disease - Policy Limit

All insurance policies must be issued by an admitted insurance carrier with an A.M. Best rating of A-8 or better. Major League Baseball Urban Youth Foundation, Major League Baseball Charities, Inc., Major League Baseball Properties, Inc., MLB Advanced Media, L.P., the Office of the Commissioner of Baseball, The MLB Network, LLC, LEJ Sports Group, the Scotts Company LLC, the Major League Baseball clubs, and each of their respective past, present and/or future general and limited partners, members, shareholders, directors, officers, employees, agents, licensees, sponsors, volunteers and representatives ("Additional Insureds") must be named as additional insureds under the Commercial General Liability (using ISO Form CG2010 or its equivalent) and Commercial Automobile Liability Policies. All liability insurance policies must contain Cross Liability Endorsements, or their equivalents. Further, coverage for the Additional Insureds shall apply on a primary basis irrespective of any other insurance, whether collectible or not. No policy shall contain a self-insured retention. No policy shall contain a deductible in excess of $25,000 and any/all deductibles shall be the sole responsibility of the Partner and shall not apply to MLB. The General Liability policy shall include no third party over action exclusions or similar endorsements or limitations. All policies shall be endorsed to provide a waiver of subrogation in favor of the Additional Insureds. All policies shall be endorsed to provide that in the event of cancellation, non-renewal or material modification MLB shall receive at least thirty (30) days written notice thereof. Local Host shall furnish MLB with certificates of insurance evidencing compliance with all insurance provisions noted above prior to the commencement of the Local Competition and annually at least ten (10) days prior to the expiration of each required insurance policy.

To the extent any U.S. military sites are self-insured they will be exempt from this requirement upon submission of evidence of such self-insurance.
